1. Scope of services

1.1 The Photographer will provide the deliverables specified in the Project Details section, captured and processed to professional architectural photography standards.

1.2 The quote is based on the project description and deliverables listed. Additional work requested beyond this scope will be quoted separately.

1.3 The Photographer reserves the right to subcontract elements of the work while maintaining overall responsibility for delivery and quality.

2. Site access & client responsibilities

2.1 The Client will provide necessary site access, permissions, and coordination with site personnel for scheduled shoot dates.

2.2 The Client will notify the Photographer of any site restrictions, hazards, security requirements, or operational constraints in advance.

2.3 The Client is responsible for ensuring the site is prepared and suitable for photography on agreed shoot dates (clear access, lighting operational, tidied spaces where required).

2.4 The Client will provide any required inductions, PPE requirements, or site-specific safety information at least 48 hours before the shoot.

3. Technical operations & safety

3.1 The Photographer retains sole authority over all capture methods, equipment selection, and safety decisions.

3.2 Drone operations are conducted at the Photographer's discretion based on weather conditions, airspace restrictions, and safety considerations. The Photographer holds full CAA certification and handles all necessary airspace permissions and is solely responsible for compliance with CAA regulations and the Air Navigation Order.

3.3 The Photographer reserves the right to decline or postpone capture in unsafe or unsuitable conditions, including but not limited to: high winds, rain, fog, or adverse weather affecting drone operations; active crane operations or other conflicting site activities; other drone activity in the area; any safety concerns.

4. Weather, rescheduling & equipment

4.1 Exterior and drone photography is weather-dependent. The Photographer will monitor forecasts and provide as much notice as possible if conditions are unsuitable. Interior shoots may proceed if exterior/drone work is postponed.

4.2 Weather-related rescheduling by the Photographer incurs no additional charge to the Client.

4.3 The Client may reschedule shoots by providing reasonable notice. The Photographer will accommodate alternative dates subject to availability.

4.4 In the event of equipment failure during a shoot, the session will be rescheduled at no additional cost to the Client.

4.5 If the shoot cannot proceed due to site not being ready, access not being available, or conditions not matching those described, this will be treated as a client reschedule and may incur additional travel and preparation fees.

5. Capture process & progress

5.1 The Photographer will keep the Client updated on project progress during the processing phase.

5.2 The Client will be given opportunity to review and provide feedback on images before final delivery.

5.3 Minor adjustments are included (e.g., cropping, exposure tweaks, minor retouching). Requests to re-edit images after delivery may incur additional charges.

6. Revisions & additional work

6.1 Included: Minor adjustments to delivered images based on pre-delivery feedback, including cropping, exposure corrections, colour adjustments, and minor retouching.

6.2 Additional charges apply for: major retouching or compositing work; additional capture sessions or new shoot locations; substantial editing beyond standard processing; sky replacements or significant environmental alterations.

6.3 Work requiring additional capture sessions or substantial editing time will be quoted separately and requires Client approval before proceeding.

7. Deliverables & delivery

7.1 The Photographer will deliver all items listed in the Project Details section via secure digital transfer with download links valid for 30 days.

7.2 Standard turnaround is approximately 2-3 weeks from shoot date, though this may vary depending on project complexity and current workload.

7.3 Images will be delivered in the formats specified in the Project Details, typically high-resolution JPEG and/or TIFF files suitable for print and digital use.

7.4 Raw files are not supplied unless agreed in writing and may incur an additional fee.

8. Image backup & archiving

8.1 Client Responsibility: The Client is responsible for downloading and securing their own copies of all delivered files within the 30-day download period and should maintain their own backups.

8.2 Photographer Archives: The Photographer maintains backups of project files for archival purposes but is not liable for Client data loss after delivery. Re-delivery of files may be available on request subject to availability in archives, but this is not guaranteed beyond the initial 30-day download period.

9. Ownership & copyright

9.1 Upon full payment, the Client receives non-exclusive unlimited usage rights for all delivered images for all current and future purposes.

9.2 Copyright in the images remains with the Photographer. The Client may edit or modify delivered files for their own use, but the Photographer is not responsible for the quality or accuracy of Client-modified content.

9.3 Credit to William Beck is appreciated but not required when images are published or shared.

9.4 The Photographer retains the right to use the work for portfolio, promotional, and marketing purposes (including website, social media, case studies, and professional submissions). The Photographer will request permission before using work from confidential or sensitive sites.

9.5 The Photographer retains the right to license images to third parties. The Photographer will request permission before licensing work from confidential or sensitive sites.

9.6 The Client may not resell, redistribute, or sublicense the images as stock photography or as a product to third parties.

10. Confidentiality & security

10.1 The Photographer will handle all Client information and site details confidentially and complies with UK GDPR requirements. Client contact details are used solely for project delivery and communication.

10.2 For sensitive or secure sites, restricted portfolio usage is available by agreement.

11. Payment terms

11.1 Payment is due within 30 days of invoice date. Invoice will be issued upon delivery of completed work.

11.2 Late payments may incur interest charges at 8% above Bank of England base rate (statutory right under Late Payment of Commercial Debts (Interest) Act 1998).

11.3 Accepted payment methods: Bank transfer (preferred), cheque.

12. Liability & insurance

12.1 The Photographer maintains professional indemnity insurance, public liability insurance, and CAA-approved drone operation insurance. Certificates of insurance are available on request.

12.2 The Photographer's liability is limited to the total fee paid for the project, except where liability cannot be limited by law.

12.3 The Photographer is not liable for: losses arising from inaccurate information provided by the Client; delays caused by factors outside the Photographer's reasonable control; Client data loss after delivery.

13. Force majeure

13.1 Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to extreme weather, natural disasters, pandemic restrictions, or government orders. In such circumstances, timelines will be extended reasonably or the contract may be terminated by mutual agreement.

14. Cancellation

14.1 Either party may cancel this agreement by written notice.

14.2 If the Client cancels after work has commenced, payment is due for work completed to date.

14.3 If the Photographer cancels for reasons other than safety, weather, or force majeure, any payments received will be refunded.

15. Complaints & disputes

15.1 Any concerns about the work should be raised in writing within 14 days of delivery. The Photographer will respond to complaints within 7 working days and work to resolve issues reasonably.

15.2 If a dispute cannot be resolved directly, both parties agree to attempt mediation before pursuing legal action.

15.3 This agreement is governed by the laws of England and Wales.

16. General terms

16.1 This agreement constitutes the entire understanding between the parties and supersedes all previous agreements or understandings.

16.2 Any variations to this agreement must be made in writing and signed by both parties.

16.3 If any provision of this agreement is found to be unenforceable, the remaining provisions remain in full effect.

16.4 Neither party may assign this agreement without the other party's written consent.

16.5 No waiver of any breach of this agreement shall constitute a waiver of any other breach.
